Can a Korean company open a US TikTok Shop without a US corporation?
It can. But no US corporation required is not the same sentence as no US operations required.
Yes, this is possible. A Korean company can apply to TikTok Shop US through the cross-border route without first forming a US corporation, and the current first step is the intake demand survey ByteDance runs for Korean entities. That submission is not the Seller Center application, and it guarantees nothing about approval.
- There are two selling-entity routes: the Korean entity across the border, or a US entity.
- With no US corporation you still need a US dispatch address and a US return address.
- The Korean side of the pack starts with the English business-registration certificate and the corporate registry.
- The intake form and the Seller Center application and review are separate stages.
A Korean company can apply
ByteDance runs a separate US TikTok Shop demand survey for Korean entities. The path that files under the Korean company name, without first standing up a US seller, begins there.
So the opening question is not whether to form a US corporation.
It is which route you take. tempo records the selling-entity route as one of two values, Korean entity across the border or US entity, and that answer rewrites the document pack that follows.
Do not count the demand survey as a filed application. Submitting the form and lodging a Seller Center application for review are different stages, and tempo records them separately.

Knowing what the form asks cuts the preparation to half a day. It comes in five parts.
- Company and brand name, and the TikTok account you use today.
- Business registration number, plus the contact name, phone and email.
- A new official email address for the shop.
- Product categories and a representative sales link.
- Average monthly revenue band, and where you sell now.
There is also a field for interest and free comments. What goes there sets the first conversation, so name the product category and your target timing in a sentence or two.
Split the route and the document pack splits with it
The two routes ask for more that differs than they share. Copy one list across to the other and you collect documents nobody wants while leaving the fields that matter blank.
Start with what differs.
- Korean entity, cross-border — the ten-digit business registration number, the English business-registration certificate, the Korean corporate registry, the incorporation date, the English legal name, and the primary business address.
- US entity — the formation certificate, proof of the federal tax number, a settlement account held in the US company name, and Form W-9.
- Shared by both — primary representative identity, beneficial ownership, the operating authorisation letter, proof of the US logistics route, and product and shop details.
The primary business address is the clearest example. On the cross-border route it is the Korean head office address, written in English, and it is what Seller Center carries as the business address.
On the US entity route that same field carries the US company instead, and proof of the federal tax number and Form W-9 travel with it. Mix the two packs and neither one clears.
Tax forms follow the route as well. The Korean side files a corporate W-8BEN-E, and the Seller Center tax screen takes that form directly.
The settlement account is recorded as one of four states: held, missing, under review, or held in a mismatched name. The last one surfaces latest and takes longest.
What the Korean side actually prepares
The sequence below is arranged so each answer produces the input for the next. Work it out of order and you collect documents before knowing whether they apply.
Settle the route first
Four answers decide the pack: selling entity, US logistics, settlement account, and beneficial ownership. While those four are blank, nothing downstream knows what to ask for.
Get the corporate documents into English
Prepare the English business-registration certificate and the corporate registry, and spell the English legal name exactly as the English certificate does, capitalisation included. That spelling becomes the reference for every later field.
Pick which date goes where
The start-of-business date, the business registration date and the incorporation date are three different dates. Decide which field takes which before filing, or review sends it back.
Name the primary representative
Collect the English legal name, date of birth, residential address, proof of that address, and passport for one person. The name has to match the passport exactly.
Identify the beneficial owners
A Korean corporate registry lists officers, not shareholdings. Take the total shares issued, convert the 25 percent line into a share count and ask in those terms; if the primary representative is also the beneficial owner, almost nothing extra is needed.
Draft the operating authorisation letter
It is filed even when the legal representative and the operator are the same person. It has to carry the entity name, the scope of authority and a signature, and where there are two signature blocks, both get signed.
The shareholder register is for confirmation only. It settles the 25 percent line, it is not filed with the platform, and its usefulness ends once the owners are named. Identity material is destroyed when its retention period runs out.
The letter builder inside tempo lists the rejection reasons in the order they actually occur. The top of that list is always spelling: a missing signature, the English legal name in the wrong case, a name that differs from the passport.
Account creation turns, unexpectedly, on email. Seller Center will not move on until a verification code is confirmed inside a time limit, so name the person who will read that code before you start.
The signup address has to be a working address the brand keeps. Open it under a personal account that leaves with an employee and the security alerts leave with it.
The verification text arrives on a Korean number. Pick one number in +82 format where somebody can read the message directly.
Accepting the platform terms is a field of its own during account creation. The client has to read and accept it, and it is not a box an agency can tick on their behalf.
tempo runs this work as five areas: contract and kickoff, application and review, logistics and returns, settlement and tax, and product launch. Keeping them apart means a blocker in one does not stop the other four.
Whether the filing is ready is judged separately. Contract signature, hero products and the route all attach as conditions, and document review, settlement, dispatch address and drafting have to finish first. Account approval is the judgement after it.
No US corporation still leaves US operations
This is where expectations on this route come apart most often.
Not needing a US corporation does not mean needing nothing in the United States. Filing cross-border still requires a US dispatch address and a US return address, each with an English address, postcode and named contact.
Decide the logistics route and the rest follows. tempo records this answer as one of five values, an existing third-party warehouse, MCF, FBT, an owned US warehouse, or a partner still to be found, and the proof it asks for changes with the value.
- Existing third-party logistics — a contract or usage record identifying the client, the provider and the US warehouse address.
- MCF — a screen showing the service actually in use.
- FBT — approval to use it, or proof of inbound stock.
- An owned US warehouse — proof of ownership, lease or operation.
- A partner still to be found — the same kind of proof, once the contract exists.
Settlement catches people in the same place. Whether the account is missing, under review, or held in a name that differs from the selling entity changes what gets checked, and a mismatched name has to be fixed first.
Tax details go in on the Seller Center screen itself. That is why tempo does not separately collect the corporate W-8BEN-E: the client would fill the same form twice, and we would hold taxpayer data we have no use for.
Brands with no US sales history meet one more field here. There is no shop link to give, so a domestic or other-region sales URL goes in its place and the absence of US history is stated plainly rather than papered over. Papering over it breaks later.
Product and shop details belong to the same pack. The logo has to be at least 512 by 512 pixels, under 1MB, in JPG, JPEG or PNG, and the shop name is whichever one the brand has signed off.
The cost of crossing the border does not move
Executive Order 14324 of 30 July 2025 ended duty-free de minimis treatment for shipments under 800 dollars, from every country, as of 29 August that year. The customs fact sheet states that non-postal shipments owe duties, taxes and fees and need an entry under an appropriate type.
Do not plan around it coming back.
A Federal Register notice of 24 June 2026 made the suspension indefinite for every mode other than the international postal network. For a brand selling across the border, that line is a constant in the cost sheet.
The importer seat has to be settled alongside it. US customs rulings treat a foreign corporation as generally unable to act as ultimate consignee, and require a non-resident corporation to appoint an agent for service of process in the port-of-entry state and to post a bond from a resident surety.
Filing as a Korean company and importing as a Korean company are two different sentences. Leave this field blank and ship the first inventory anyway, and what waits at the port is a container, not a listing.
So a cross-border cost sheet is not the same document as a US entity one. Border cost and the importer seat attach to every shipment, and a quote that leaves both of them out will keep changing month to month.
Check the excluded categories before counting on the small business exemption. Food and Drug Administration guidance states that certain product categories do not qualify. A different agency reviews this axis, so keep it on the same calendar without giving it to the same person.
What is absent here are dates and odds. Approval, review duration, fees and the range of available countries are the platform decision and went unconfirmed in public documentation, so no figure was written for any. Entity formation, tax structuring and choosing a customs broker are advisory work this page does not recommend on.
Common questions
Would forming a US corporation open the shop faster?
The two routes differ in documents and operating structure rather than speed. The US entity route brings formation documents, proof of a federal tax number and Form W-9; the cross-border route brings Korean corporate documents and a corporate W-8BEN-E. Which moves faster went unconfirmed, so that comparison is not made here.
Once the demand survey is submitted, is the application done?
No. That submission is not a Seller Center application, and tempo does not mark the application step complete on the strength of it. Document review, settlement preparation and responding to the platform review all still sit after the form.
Can we start with no US address at all?
The dispatch and return addresses often belong to a contracted logistics partner. The requirement is not owning a warehouse but having a place inside the United States for goods to leave from and come back to. If none exists yet, settling the logistics route is the first move.
